Provident Search Referral Rewards Program

Terms & Conditions

Effective Date: August 12, 2026

The Provident Search Referral Rewards Program (“Program”) rewards individuals who refer qualified candidates and/or prospective hiring clients to Provident Search. Participation in the Program constitutes acceptance of these Terms & Conditions.

1. Eligibility

The Program is open to individuals who are at least 18 years old and legally eligible to participate. Provident Search employees, owners, and contractors may be excluded from participation at the discretion of Provident Search.

Participants are responsible for complying with any policies, employment agreements, professional obligations, or other restrictions that may apply to them.

2. Eligible Referrals

A referral may include:

  • A candidate who may be interested in employment opportunities represented by Provident Search; or

  • A company or hiring decision-maker that may have hiring needs and becomes a client of Provident Search.

Providing a name or contact information alone does not automatically constitute a qualified or payable referral.

3. Candidate Referral Requirements

To qualify for a referral reward:

  • The candidate must be referred to Provident Search before Provident Search has established active contact with the candidate regarding the applicable opportunity.

  • The candidate must not already be actively represented by Provident Search for the applicable placement.

  • The referral must result in a successful placement through Provident Search.

  • The hiring company must pay Provident Search the applicable recruiting/placement fee in full.

If the same candidate is referred by more than one person, Provident Search will determine the eligible referring party based primarily on its records of the first valid referral received.

4. Client Referral Requirements

For a prospective client referral to qualify:

  • The prospective client must not already be an active Provident Search client or active business-development prospect.

  • The referral must result in a recruiting engagement accepted by Provident Search.

  • Provident Search must successfully make a placement for the referred client.

  • Provident Search must receive the applicable recruiting/placement fee in full.

Provident Search will determine whether a prospective client qualifies as a new referral based on its internal records.

5. Referral Reward Tiers

Qualified referrals are rewarded according to the applicable Program tier:

Bronze — 1–5 Qualified Referrals
$1,500 per qualifying referral.

Silver — 6–10 Qualified Referrals
$1,750 per qualifying referral.

Gold — 11–15 Qualified Referrals
$2,000 per qualifying referral.

Platinum — 16–20 Qualified Referrals
$2,250 per qualifying referral, plus eligibility for the advertised cruise reward.

Diamond — 21–25 Qualified Referrals
$2,500 per qualifying referral, plus eligibility for the advertised early-payout benefit.

Unless otherwise stated by Provident Search in writing, the reward applicable to a referral will be determined by the participant's referral tier at the time that referral becomes eligible for payment.

6. When a Referral Becomes Payable

Except where the Diamond early-payout benefit applies, referral compensation is earned only after:

  1. The referred candidate has been successfully placed or the qualifying client referral has resulted in a successful placement;

  2. The applicable placement satisfies Provident Search's requirements for a completed placement; and

  3. Provident Search has received the applicable recruiting or placement fee from its client.

A referral submission, interview, job offer, accepted offer, or employment start date by itself does not guarantee payment of a referral reward.

7. Guarantee Periods, Refunds and Failed Placements

If a placement is canceled, refunded, credited, replaced, subject to a fee dispute, or otherwise does not result in Provident Search retaining the applicable placement fee, Provident Search may delay, reduce, cancel, or recover the corresponding referral reward as reasonably necessary.

8. Platinum Cruise Reward

Participants who qualify for the Platinum tier may become eligible for a cruise reward offered by Provident Search.

Cruise eligibility, travel dates, destination, accommodations, booking requirements, guest eligibility, substitutions, availability, and other travel-related conditions will be determined by Provident Search.

Unless expressly stated otherwise in writing, transportation to and from the departure location, passports, visas, gratuities, excursions, insurance, incidental expenses, taxes, and personal expenses are the participant's responsibility.

The cruise reward has no guaranteed cash value and may not be exchanged for cash unless Provident Search expressly permits it.

9. Diamond Early Payout

Participants who qualify for Diamond status may become eligible for early payment of qualifying referral rewards before Provident Search's standard referral payment date.

Early payout does not eliminate the requirement that the underlying referral ultimately satisfy the Program's qualification requirements. Additional early-payout conditions may be established by Provident Search.

10. Taxes

Referral rewards may constitute taxable income. Participants are solely responsible for all federal, state, and local taxes associated with payments, prizes, travel, or other benefits received through the Program.

Provident Search may require completion of applicable tax documentation, including IRS Form W-9, before issuing payment and may report payments as required by law.

11. No Employment Relationship

Participation in the Program does not create an employment, partnership, agency, joint venture, franchise, or independent-contractor relationship between the participant and Provident Search.

Participants are not authorized to make representations, guarantees, commitments, or agreements on behalf of Provident Search.

12. Referral Conduct

Participants may not use deceptive, misleading, unlawful, harassing, or unsolicited mass-marketing practices in connection with the Program.

Participants should obtain appropriate permission before providing another person's private contact information to Provident Search.

13. Program Administration

Provident Search reserves the right to determine, in good faith, whether a referral qualifies for the Program, which participant receives credit for a referral, when a reward becomes payable, and whether Program requirements have been satisfied.

Provident Search's records will be used to determine referral submission dates, placement status, client payment status, and tier qualification.

14. Program Changes or Termination

Provident Search may modify, suspend, replace, or discontinue the Program, its reward amounts, tiers, benefits, qualification requirements, or these Terms & Conditions at any time.

Changes will not eliminate referral compensation already earned under the Program prior to the effective date of the change, except where otherwise required by law or where a referral was obtained through fraud, misrepresentation, or violation of these Terms.

15. Fraud and Abuse

Provident Search may disqualify a participant or referral involving fraud, falsified information, manipulation of the Program, duplicate or fabricated referrals, misrepresentation, or other abuse.

Referral rewards obtained through fraudulent or improper activity may be withheld or recovered.

16. No Guarantee

Provident Search does not guarantee that any referred candidate will be interviewed, hired, or placed, or that any prospective client will engage Provident Search.

Submission of a referral does not guarantee that the referral will qualify for compensation.
